Advising individuals and business entities at all stages, including entity selection and formation (i.e. sole proprietorships, corporations, (including Subchapter S), non-stock corporations, limited liability companies, limited partnerships, etc), day-to-day business operations (including annual meeting documentation, reporting requirements, operating your entity to maintain the protections provided by the entity type chosen) and the selling and buying of businesses, including business succession planning. Assisting individuals and businesses with respect to corporate restructuring, merger transactions, and stock acquisitions or sales. Drafting, negotiating and providing advice to parties with regard to contract matters of many types, including purchase agreements, supply agreements, employment contracts, non-compete agreements, shareholder agreements, stock purchase agreements, asset purchase agreements and development agreements.
