I am a partner and co-chair of the firm's Business & Corporate Transactions Group. I act as General Counsel to many local and regional companies providing business advice regarding entity formation; contract and lease review; interpretation, preparation and negotiation of business contracts; mergers and acquisitions; asset and stock purchases; employee benefit and stock option plans; duties of corporate officers and directors and enforceability of covenants not to compete; trade secret and non-solicitation agreements, as well as business succession and tax planning.. I have also counseled and negotiated favorable resolutions for numerous closely held companies and shareholders involved in internal shareholder disputes.. In the area of corporate finance, I am experienced with private placements and exempt offerings, as well as venture capital and angel investor financing.. I also assist clients in all aspects of real property matters, including negotiation and drafting of industrial, office and shopping center leases and real property purchase and sale transactions. I was recently honored in this area at a "2013 Top Lawyer in Real Estate" by Martindale-Hubbell™.
