I concentrate my practice on the corporate, transactional and tax needs of the firm’s clients.. I represent a broad spectrum of non-profit and public entities, including health and human service providers, charter schools and other educational institutions, and financial institutions which lend to non-profits and public entities.. My advice to non-profit clients addresses the concerns of both newly-formed and well-established entities. It includes creating appropriate organizational structures for clients, and advising them on tax planning and tax exemption compliance. I negotiate and implement joint ventures and other corporate affiliations, and assist clients with their employment and executive compensation arrangements. I also  represent both borrowers and lenders in conventional, tax credit and tax exempt bond financing transactions.. I write and lecture on nonprofit governance, charter and public school regulations, tax exemption compliance and New Markets Tax Credit financings.
