Jeff focuses his practice on advising middle market and emerging growth companies, as well as venture capital and private equity fund investors, in avoiding, managing, and mitigating risk and litigation associated with corporate transactions and business operations.. In addition to his strategic risk advisory practice, Jeff acts as a business advisor to companies and investors on general corporate and business law matters, helping them realize their strategic business objectives and goals while managing their risk exposure. Jeff’s practice includes assisting companies and investors with mergers and acquisitions, joint ventures, negotiating and drafting complex commercial contracts, financing, corporate governance, entity formation, and private equity and venture capital investments, as well as general business litigation.. Prior to law school, Jeff obtained degrees in Finance and also in Accounting and Information Systems from Virginia Tech. Jeff then worked as an auditor for Deloitte analyzing the relevance and reliability of financial statements for a multitude of companies, as well as providing assurance regarding internal controls. Thereafter, Jeff worked as a regulatory analyst for Wachovia Securities preparing and analyzing regulatory reports for the NYSE, NASDAQ, and AMEX.. After graduating first in his class from the University of Richmond School of Law, Jeff clerked for the Honorable C. Arlen Beam with the United States Court of Appeals for the Eighth Circuit. Jeff then joined the Complex Commercial Litigation group of McGuireWoods LLP where he handled all aspects of litigation in state and federal court, including pre-litigation mitigation efforts, discovery, motions practice, trials, and appeals. Jeff’s portfolio of cases included business and commercial disputes, contract actions, real estate matters, banking and finance issues, director and officer fiduciary duties and liabilities, securities matters, and administrative and regulatory cases, as well as tort, constitutional, and employment matters.. Jeff’s love of business has now brought him out of the court room and into the board room. Since leaving McGuireWoods, Jeff has combined his litigation experience with his business background to develop strategies for clients to avoid or limit the risks and potential litigation in connection with both corporate transactions and business operations.. Jeff is admitted to practice in the Commonwealth of Virginia, as well as the First, Fourth, and Eighth Circuit Courts of Appeals. Jeff is also a member of the Virginia, Richmond, and Federal Bar Associations. Jeff received his Juris Doctor degree, summa cum laude, from the University of Richmond School of Law. Jeff also earned two Bachelor of Science degrees in Finance and Accounting and Information Systems, cum laude, from Virginia Tech.

In the courtroom, Mr. Bowser has litigated cases and counseled clients in a wide variety of complex disputes, including individual and class-action cases arising out of contract, tariff, commercial tort, consumer-protection, privacy laws, and the Telephone Consumer Protection Act in particular. Mr. Bowser has tried cases in federal and state court, and helped clients reach key victories through briefing at both the trial and appellate levels.. Outside the courtroom, Mr. Bowser advises numerous emerging telecommunications companies, helping them navigate regulatory hurdles from initial registration, to on-going compliance and regulatory advocacy, to complex dispute resolution. He also drafts and negotiates a wide variety of contracts, such as telecommunications/ISP service agreements, software/platform/infrastructure-as-a-service agreements, and reseller and marketing agent agreements.. In addition to defending clients in individual and class-action litigation throughout the country, he provides counseling to mitigate the litigation risk, including auditing marketing campaigns, developing compliant website and consent-based opt-ins, and preparing terms of service for direct-marketing campaigns that implicate the TCPA and related marketing and privacy laws. Having litigated many of these issues, Mr. Bowser knows where the proverbial mines are, and helps his clients sidestep them.

I served in the Navy on active duty and in the Reserves for 20 years.  I am very interested in helping veterans realize the goal of starting a business or buying a franchise.  There are quite a few challenges a veteran may face in getting set up in a business, but I think it is a very viable option that veterans do not consider enough.  There are many issues, from forming the proper entity to financing to industry-specific regulations, that one must become aware of to be successful in launching a business.
