Robert Deal has several years of experience representing owners, buyers, sellers, landlords, tenants, developers and contractors in all types of commercial real estate and business transactions. His real estate practice focuses on preparation and negotiation of contracts for the acquisition, sale and/or exchange of property; the creation of condominiums, condo associations and homeowners’ associations; the preparation of easements, dedications and subdivisions; and the negotiation and drafting of commercial leases for various real estate asset types, including office, retail, restaurant and industrial uses. He also assists clients from a business perspective through the review and drafting of business contracts and the formation of entities that will best serve their legal and business needs by providing individualized attention and personal response to their requests and requirements.. Mr. Deal also has extensive experience in banking and finance law, representing several regional banks as well as developers, builders and real estate owners in all aspects of secured lending transactions, from the commitment letter, due diligence review, commercial loan documentation and negotiation, closing and post–closing requirements. He has been involved in a wide variety of finance transactions including real estate acquisition, construction and refinance loans, GSA loans, mezzanine loans, and loans secured by corporate assets, franchise licenses, ground leases and other collateral. He has also reviewed or drafted legal opinions for loan transactions, some for loans in excess of $100 million dollars.. Mr. Deal understands the sensitivities and commercial realties of lending, borrowing and developing in today’s market. In the course of transactions such as loan purchases and indemnity-secured collateral, he has assisted clients in finding ways to limit the costs of a transaction for all of the parties, while maintaining the security of the loan and maximizing the benefit to his clients. He has also worked with lenders and borrowers in dealing with troubled loans through restructures and workouts, and recently prepared materials for a Virginia CLE titled “Bankruptcy and Real Estate: The Current Issues”. By focusing on the details of every transaction, Mr. Deal works hard for his clients to find creative solutions to structure and document commercial transactions that meet his client’s needs and to ensure that transactions proceed to closing in a manner that protects the client’s interests while doing so in a timely and cost-effective manner. Mr. Deal received a Bachelor of Arts degree in Journalism, with an emphasis in Public Relations, and a Bachelor of Science degree in Political Science, each from Arizona State University, graduating magna cum laude from the Barrett Honors College in 2002. He earned his Juris Doctor from the George Mason University School of Law School in 2005. Mr. Deal is admitted to practice in Virginia and is a member of the Virginia State Bar.
