I'm a transactional attorney concentrating my practice in corporate, business, commercial lending, and finance law. My practice focuses on negotiating and closing joint ventures, mergers and acquisitions (buyers and sellers), asset dispositions, securities issuances and other capital raises, recapitalizations, restructurings, buyouts and takeouts as well as various types of business and real estate financings (ranging from venture and private equity to asset- and property-backed bank financings).. I prepare and negotiate term sheets, LOIs, purchase (asset and equity) agreements, profit sharing plans, operating agreements, buyer/seller agreements, shareholder agreements, employment agreements, confidentiality/non-disclosure agreements, and private placement memoranda. I have considerable experience preparing private placement memoranda and other offering documents for equity issuances and syndications as well as compliance with federal and state "blue sky" securities laws. I regularly work with franchisors on corporate, structuring, financing and leasing matters as well as reviewing franchise disclosure documents (FDD) and franchise agreements on behalf of potential franchisees.. I represent commercial lenders and borrowers in connection with commercial real estate financings, asset-based financings and lines of credit, project financings, tax credit financings, subordinated and senior debt transactions, convertible/preferred equity structured finance and loan assumptions. I regularly counsel financial institutions and borrowers in the drafting and negotiation of loan documentation including loan agreements, notes, mortgages/deeds, security pledges, guarantees, and subordination agreements.. I also provide outside general counsel to closely held businesses from startups to established companies, as well as non-profit organizations and entities in workout situations. I assist clients with organizational and entity planning, strategic advice, resolution of conflicts among owners, executive employment matters and ongoing corporate counseling.
I try and handle a limited amount of cases per year in each of my practice areas. I do so in order to give each one of my client's the time and attention they need without compromise. I transitioned to divorce and family law after 15+ years working in accounting and operations for start-up technology companies. I strongly believe lawyers overlook the client experience and often force clients to work their way instead of the best way for the client. I try to look at everything from the client's perspective and try to make things as easy as possible for them.. I am a firm believer that the best way to resolve disputes is through direct communication with the other party. The court system should be the last resort, and I have no problem advising clients that they are better off handling an issue themselves if practical. I view the client relationship as a long-term collaboration rather than a quick money grab. I would much rather a client be completely confident in recommending our firm to a friend or come back years later when they do actually need a lawyer than feel taken advantage of.. I specialize in divorces with financial issues, whether high-income or net worth, family-owned businesses, real estate, retirement assets, or stock options and other equity compensation. All divorces have a range of issues though, so I am certainly not limited to financial cases by any means.. I understand that there is a lot at stake in every family law case, and every case is unique. I consider myself fortunate to be able to work with clients from all walks of life, and I love doing what I do because I know two days will never be the same.
I majored in music in undergraduate school, specializing in voice and French horn. I was a music teacher for awhile, and finally determined that music made a better avocation then a vocation. So, while music became my hobby, I became a computer programmer. I specialized in small computer financial systems. This led to jobs as a programmer, software consultant, support department manager, and IT director. For music, I sang in church choirs. The most notable of these was the Trinity Choir of Trinity Church, in Copley Square in Boston. As a member of that choir, I participated in two tours oversees (to England and to Central Europe) and several recordings. My father always said that music is not a spectator sport, and I've always lived by that creed.. I attended Suffolk Law School and graduated in 2007. My first legal job was for a firm that specialized in workers' compensation. My main role was to write appeal briefs to the Reviewing Board of the Department of Industrial Accidents. I wrote over 85 of these briefs, which is an extraordinary number. Since October of 2008, fully a quarter of all Reviewing Board decisions have been on issues in which I filed a brief. This unusual experience has given me a deep understanding of workers' compensation law. I have since gone on to represent clients at all branches and levels of the DIA. I'm trying to make a difference, one person at a time.. In 2009, I helped a friend through a chapter 7 bankruptcy. I have since worked on developing a bankruptcy practice in order to help people in financial distress get through tough times. Again, hoping to do what I can to make a difference for people.
I made a decision 24 years ago following an internship with the Dade County State's Attorney's Office in Miami that following my graduation from Law School that I would devote all of my practice to criminal defense. My father thought I was crazy and never thought I could sustain a practice like that but following my appearance on the O'Reilly Factor in September of 2003 for a racial-profiling case that received national attention, he looked at me and for the first time in his life, told me he was wrong.. I handle each client with professionalism & bring a vast amount of jury trial experience to the courtroom. I also pride myself on returning every call, text or email prior to leaving for the day.. Thank you.. Michael Erlich

I concentrate my practice in the areas of estate planning and administration, and business representation and planning. In the area of estate planning, my range of practice varies from the simple will to sophisticated estate planning, including revocable, irrevocable and charitable trusts, qualified personal residence trusts, and family limited partnerships. I believe that marriage/relationships should end with the same dignity and respect that it started with. My goal for my practice is to help improve the divorce process for couples seeking to end their marriage in a manner that shall preserve their families and reduce conflict for their children. Although the romantic partnership has ended, parents need to be able to co-exist in order to raise healthy children who can manage conflict in a peaceful and productive manner. I believe the divorce mediation process is the least detrimental for families seeking to end their marriage. A public courtroom battle is not the appropriate forum to resolve your issues relating to custody, parenting times, property division and support. A confidential and private divorce/family mediation with a highly skilled divorce mediator will help expedite your divorce, while leaving a couple in control over financial and parenting decisions for their family in a cost effective manner.

I have represented individuals and business entities in a variety of matters, from landlord-tenant disputes to probate and family court matters with successful results. I am always mindful that behind every client is someone's child, parent or sibling. Your case will be handled with the respect and attentivenss you deserve.
