I am an attorney who works with companies of all sizes to handle a broad range of business and employment matters, from handling business formation, mergers and acquisitions, commercial finance transactions, and corporate governance issues, to drafting and negotiating business and employment agreements and developing policies, to advising companies on regulatory compliance, employment, and technology and electronic data management issues.  I bring to my corporate and counseling practice a broad litigation background, and have represented companies before courts and administrative agencies in a broad range of commercial and employment disputes.

I help clients with issues related to their businesses, immigration issues, and issues related to fraud.

Ned “wrote the book” on trademark law for Maryland lawyers.  He authored the chapter on federal and state trademark law for the Maryland State Bar Association’s Intellectual Property Handbook for Maryland Business and Litigation Lawyers, published in June 2013.

During the past 23 years I built a successful and respected business law firm. My practice has a national scope, serving clients located around the country in litigation and transactional matters arising in Maryland, Virginia and the District of Columbia. My practice focuses on the areas of substantive law businesses rely upon daily. These areas of law include contract, corporations and unincorporated business entities, Uniform Commercial Code, commercial financial services, bankruptcy and state law insolvency/receiverships, business consulting, employment, commercial real estate and complementary disciplines. While the majority of my daily professional activity relates to litigation and arbitration in these areas, a substantial amount of my time is dedicated to transactional matters and “outside general counsel” services for day-to-day operations of clients who do not have an in-house legaldepartment.

Granville is a litigation attorney who has been practicing since 2003. He has represented civil and criminal clients in State and Federal courts in Maryland and military criminal clients as far as Okinawa, Japan. He handles business, contracts, personal injury, criminal and traffic matters.. Granville is connected with the community and has always been involved in many transformative organizations and boards in the Baltimore metropolitan area. He has sat on the Baltimore Area Salvation Army Board, Chaired the Boys and Girls Clubs Advisory Board, & participated on the National Academy Foundation board. Granville is a past President of the Monumental City Bar Association and he currently is the chairman of the board for Project Pneuma and on the Monumental City Bar Foundation & Beloved Community Services Corporation board.

Tom graduated from the University of Pennsylvania in 1983 and earned his J.D. in 1986 from the University Of Maryland School Of Law.. Tom focuses his practice on Business and Corporate Law, Civil and Commercial Litigation and Franchise Law. During his career, Tom has developed both the business and legal skills which allow him to anticipate client needs before adverse legal consequences arise.  Tom's experience in the areas of business law and litigation allow him to assist business owners and corporate leaders in navigating the complicated issues they face in today's constantly changing business environment.  Mr. Kohn is chair of the law firm's business and corporation practice.. Mr. Kohn devotes a significant portion of his practice to working with private health care providers, specifically dentists, orthodontists and other medical specialists, to develop fair and efficient strategies for the profitable creation, operation and, ultimately, sale of professional practices.  He assists clients with practice formation, partner relations, hiring of associates, practice growth and management, purchase and sale of existing practices, and startups of new or expanding practices.. Beginning in 2007 and for each year thereafter, Tom has selected as a Maryland Super Lawyer in the area of Business and Corporate law, an honor afforded to only five percent (5%) of Maryland attorneys each year.. A Baltimore native, Mr. Kohn is, and has been, active with many community and charitable organizations. His current activities include membership on the Board of Directors of the Baltimore Jewish Community Center, the Community Advisory Board of WYPR Radio and the Technology Committee of the Bar Association of Baltimore City. He is also a regular contributor to Dentaltown Magazine and a frequent lecturer with regard to various aspects of business ownership, management and growth.. His wife, Dr. Shari C. Kohn, is a pediatric dentist in private practice in Hunt Valley, Maryland. Together, they are raising two children, Rachel and A.J., and a Golden Retriever, Penny.

Peter Rosenwald leads our representation of financial institutions in commercial lending transactions, including inventory and receivables financing, equipment financing, bank participations, federal and state government lending and guarantee programs, and equity financing.

Larry Coppel is a member and chairs the Firm’s Bankruptcy and Restructuring Practice Group.  He has maintained a diverse practice in complex business bankruptcy and workout cases and has extensive experience representing lenders, debtors, creditors’ committees, trustees, receivers and other parties.  He is a Fellow of the American College of Bankruptcy, a Fellow of the Maryland Bar Foundation and has received recognition for his specialty in every edition of The Best Lawyers in America since its first publication.. Larry founded and was the first President of the Bankruptcy Bar Association for the District of Maryland.  He also served as Chair of the Banking, Bankruptcy and Business Law Committee of the Baltimore City Bar Association.  Larry is a member of the Liaison Committee of the United States Bankruptcy Court and United States District Court for the District of Maryland.  He was a member of the Panel of Trustees for the District of Maryland from 1979 to 1992 and holds memberships in the American Bankruptcy Institute, and Turnaround Management Association.  He is a member of the faculty of the annual MSBA Advanced Bankruptcy Institute and is a frequent lecturer at other bankruptcy programs.
