While there, he took a leading role in a complete revamping of the company’s FDA compliance systems and served as securities counsel in over $60 million in public and private capital raising, in addition to a $75 million universal shelf registration.. Prior to STAAR Surgical Company, Charles was an associate at the Los Angeles office of Sheppard, Mullin, Richter & Hampton where his practice included advising numerous public companies on disclosure, corporate governance and securities law compliance, initial and secondary public offerings, going private transactions, reorganizations, and tender offers. He advised both public and private companies on mergers and acquisitions and equity compensation and advised newly formed enterprises on corporate organization and financing.. Transactions there included issuer and underwriter representation in public offerings, private placements (including venture and angel financing), and public and private mergers, acquisitions, and dispositions.
