Ryan Beaudoin is a commercial litigator, a partner and a member of the Board of Directors of Witherspoon Kelley, P.S.  He handles all aspects of commercial litigation including banking and finance matters, professional liability defense, healthcare, real estate and construction litigation.. Mr. Beaudoin is the current Chairman of the Board of Directors of the Community Health Association of Spokane which employs more than 350 people and operates 7 health care clinics in eastern Washington.  He is also the President-Elect of the Washington Defense Trial Lawyers which is a statewide organization of approximately 800 civil defense attorneys, and he has been elected to the Spokane County Bar Association Board of Trustees where he currently serves as its Treasurer.

My legal practice has also focused on negotiating mergers, acquisitions and sales of public and private businesses.. As a corporate/securities attorney, I register public company securities with the SEC and prepare public company periodic reports, including proxy statements, quarterly and annual reports, and other shareholder communications. I also handle regulatory compliance and corporate governance matters, including entity formation for corporations and limited liability companies, and advise clients with regard to shareholder, officer and board fiduciary duties.. A business lawyer with a business background prior to practicing law, I previously owned and operated a consulting practice providing inventory management services to domestic and international clients.  I also have a background in restaurant management and agriculture production. A native of the Inland Northwest, I lived and worked in Boston, New York, New Jersey and Copenhagen, Denmark before returning to Spokane to begin my law practice and raise my family.

Prior to joining Witherspoon Kelley, I clerked for the Honorable N. Randy Smith, U.S. Court of Appeals for the Ninth Circuit. I also clerked for the Honorable Fredrick P. Corbit, Chief Bankruptcy Judge, U.S. Bankruptcy Court, Eastern District of Washington and externed for the Honorable Ralph Kirscher (now retired), U.S. Bankruptcy Court for the District of Montana.

My practice focuses primarily on transactional real estate and general corporate matters. My experience includes the purchase and sale, leasing, financing, and developing of commercial real property and the review and preparation of easements, covenants, loan documents, water right instruments and other documents affecting title to real property. I also represent clients in a variety of business transactions, including mergers and acquisitions, entity selection and formation, contract review and preparation, and corporate governance and finance matters.

Jason Whiteley's practice is focused on advising closely-held businesses in a variety of corporate and transactional matters and on representing clients in commercial transactions (usually with a technology dimension). His work with closely-held companies includes business formation planning, private financings, general corporate compliance, and executing the purchase or sale of a business. He also represent clients in commercial transactions such as software and patent licensing agreements, development agreements, OEM and distribution agreements, supply agreements and agreements for software implementation services.
