Immediately prior to the firm, Evans successfully formed, was granted membership and served as the chief executive officer and chief compliance officer of a FINRA member firm focused on investment banking and bringing quality investments to the independent broker-dealer channel. He was responsible for all aspects of the broker-dealer, including legal, compliance, strategic direction and due diligence on offerings. In addition, he provided contractual due diligence for a top 50 independent broker-dealer and provided advisory services to other investment management companies.. Prior to returning to California, Brett Evans was the general counsel and chief operating officer of Texas Energy Holdings, Inc., a vertically integrated, Inc. 500 oil and gas company primarily drilling and operating in Texas. In his role, Evans worked on all acquisitions, both oil and gas leases (negotiation, due diligence and purchase and sale agreements), major equipment purchases and building and land acquisitions. From a securities standpoint, he drafted all private placement memoranda for oil and gas syndications in both drilling and production programs, whereby the company increased assets under management from $10 million to over $100 million. Further, Evans oversaw corporate controls and policies, managed potential litigation and risk as well as handled other corporate legal matters for its affiliated companies and joint venture enterprises.. Prior to Texas Energy, Brett Evans was securities counsel and vice president of private programs for Grubb & Ellis Realty Investors (f/k/a Triple Net Properties). At Grubb & Ellis, Evans worked closely between the acquisitions team, the affiliated broker-dealer and outside securities counsel to produce securities offering material with a focus on full and fair disclosure. In addition, Evans assisted with the general compliance of the broker-dealer including review of marketing material and other external communications. Evans’ career in the securities industry began in 1995 in operations and compliance for a large independent broker-dealer based in Orange County. While working alongside the chief compliance officer, he researched current and potential arbitration claims in support of outside counsel, investigated and responded to customer complaints and reviewed trade reporting.. Brett Evans is a graduate of the University of Washington School of Law (LL.M. in Taxation, 2005), the University of Utah (J.D., 2004 and M.B.A., 2004) and the University of California, Berkeley (B.A., History and Political Science, 1999). During his time in law school, Evans was the Note and Comment Editor of the Utah Law Review. Evans is admitted to practice law in California and was previously registered with the Financial Industry Regulatory Authority, Inc. holding Series 7, 24, and 63 licenses. As a Los Angeles based entertainment and "SEC" attorney practicing law for over 30 years in both California and Washington State, I've had the opportunity to work with an impressive and interesting array of clients in both business and the creative arts.. As an SEC attorney, I do private placement, Regulation D and public offering securities. I represent companies on OTC Markets, providing attorney opinions for clients offering their securities. On the creative side, I specialize in helping music clients and film producers start their projects and provide investor documentation and securities law compliance for the financing of their independent films and music projects. Additionally, I provide movie production legal services for indie films and advise producers on movie distribution relationships. It was in this arena that I worked for several years as the in-house attorney for Seattle-based, The Lensman Company, assisting them not only in getting their company off the ground, but in producing three independent projects: an Emmy Award winning childrens film, In Search of the Wow Wow Wibble Woggle Wazzie Woodle Woo, and two features, Daredreamer and To Cross the Rubicon. To Cross the Rubicon (starring noted singer/songwriter J.D. Souther, with an unforgettable cameo by David Crosby!) went on to an award-winning festival circuit run, a domestic and international video and DVD release, and its co-writer and co-star, Lorraine Devon Wilke, later became my wife! (We now have a college-age son, Dillon, and our family is rounded out by my daughter Jennie, her husband, Jake, and our amazing new granddaughter, Grace.). Relocating to Los Angeles in the early ‘90s, I had the pleasure of building my clientele with a number of passionate and creative filmmakers, most notably an independent film company called Ginny Mule Pictures. Their principals, Ray McKinnon, Lisa Blount and Walton Goggins, had put together a strong, viable roster of screenplays by Mr. McKinnon (a noted actor and director, as well), focusing their projects on stories that authentically depicted the South, of which they’re all natives. They ultimately produced or co-produced a slate of successful films including two features, Chrystal (starring Lisa and Billy Bob Thornton), and Randy and the Mob (starring Ray, Walton and Lisa), but their first, a film short called The Accountant, went on to win the Oscar for Film Shorts at 2001 Academy Awards. Beyond my creative clients, I work extensively with business entrepreneurs, individuals and large corporations providing a wide variety of business related legal services (refer to first paragraph above) and throughout my career it has been part of my mission statement to make complex law accessible and easily understood to both the experienced and the novice client.
