I am an attorney located in Birmingham, Alabama.  I assist clients in employment agreements, shareholder agreements, business formation and planning, succession planning, and representing shareholders and business owners in negotiating the purchase and/or sell of ownership interest. I also serve small business and closely held corporation clients in day-to-day contract drafting, as well as assisting clients in structuring business and real estate transactions.  I represent owners, developers and financial institutions in a wide variety of commercial real estate transactions, including lending and finance and acquisition and lease negotiation.. I advise clients on estate and trust planning, from young professionals to high net-worth individuals and families.  I draft documents to: reduce, defer and where possible eliminate federal estate tax liability; protect family assets threatened by issues such as heirs with dependency, creditor or immaturity problems; provide for beneficiaries with special needs, while protecting their entitlement to government benefits; and arrange for appropriate provisions for children from multiple marriages.
