SUMMARY. For over 20 years I specialized in Nevada business entity formations and operations, as a tax attorney and shareholder in the Las Vegas office of Lionel Sawyer & Collins. When LSC dissolved in 2014, I continued to practice in drafting and negotiating operating agreements for Nevada partnerships and limited liability companies, that clearly set forth the expectations of the parties regarding their share of the risks and benefits of a venture's financial performance and taxation.. Before switching to the legal field, I was an aeronautical engineer with the US Air Force. I worked on developing flight simulators for fighter pilot training, first at an Air Force base near my hometown in Ohio, then at a base outside of Phoenix, Arizona. During the time in Phoenix I also attended Arizona State University, earning an MBA and Ph.D. that researched the underlying theories and value of technical trading methods for stock investments (tip: buy high, sell higher).. I attended UCLA law school from 1986 to 1989, where I was an editor on the UCLA Law Review. After graduation I joined the Los Angeles office of Skadden Arps as a litigation attorney. I handled depositions and drafted motions in complex financial litigation matters, including defense of claims by a group of Japanese banks regarding massive student loan servicing defaults. Along the way I also acquired credentials as a Certified Financial Planner and Chartered Financial Analyst.. EXPERIENCE. I joined Lionel Sawyer & Collins in 1994 as an associate after completing the LL.M. (masters in taxation) program at New York University, and became a shareholder in 2000. My practice was grounded in taxation, financial issues, and business entity formation/selection advice. I also act as an arbitrator for the Financial Industry Regulatory Authority (FINRA, formerly NASD) regarding broker customer claims of unsuitable investments and churning.. I have been responsible for hundreds of LLC operating agreements and partnership agreements. On several occasions clients have appreciated being advised of provisions drafted by their venture partners that could, under certain scenarios, produce economic or tax results contrary to their understandings from the oral business deal. During those interactions, Ms. Gifford developed a passion for estate planning to ensure asset protection while developing maximum tax efficiencies for the distribution of wealth to heirs and charities. It was this passion that prompted Ms. Gifford to attend law school and focus her education in tax and estate planning courses.. Away from the office, Ms. Gifford enjoys spending time with her husband, Eddy, and competing in CrossFit.
Mr. Wright’s practice consists exclusively of corporate association law representation of Common-Interest Communities (“CIC’s”), and CIC Industry Organizations.. Mr. Wright is Of Counsel to Marquis Aurbach (“MAC”). He received his Juris Doctor from the University of Detroit School of Law in 1993, and his Bachelor of Science in Business Administration, with a concentration in Management, from Hawaii Pacific University in 1986. He was admitted to practice by the Supreme Court of Florida in 1994 (Retired), and the Supreme Court of Nevada in 2000.. Mr. Wright has practiced for nearly three decades and over seventeen years exclusively in Common-Interest Community Law; six of those years with his own firm just prior to joining MAC. He was selected by Community Association Management Executive Officers, Inc. ("CAMEO") and Las Vegas High-Rise Condominium Association ("LVHCA") to represent those organizations for most of that time period. He is a member of the Nevada Bar Real Property Section, and has written statutory language adopted by the Nevada Legislature for Nevada Revised Statutes Chapter 116 (The Common-Interest Ownership (Uniform Act)).. Prior to CIC practice, Mr. Wright was General Counsel of a large, international communications company, directing a staff of a dozen attorneys, and representing the corporation before federal and state regulatory agencies, including the Federal Communications Commission and various State Attorneys General and Public Utility Commissions. He was also in-house counsel to an international medical personnel corporation, representing the corporation before regulatory agencies including the Immigration and Naturalization Service, and writing portions of federal immigration law for adoption by the United States Congress; a sole practitioner in the areas of personal injury litigation, fair debt and collections practices, general practice civil litigation and consulting to other law firms on personal injury practice; and an associate to law firms in the areas of commercial collections, personal injury, bankruptcy, probate, and general practice civil litigation.. Mr. Wright is an avid bodybuilder and surfer, and enjoys traveling internationally with his wife.
Mr. Rushforth has a wife of 46 years, six children, and 24 grandchildren, and he has been practicing law in the field of trust and estates since 1978. His career started in Utah, but he has practiced in Nevada since 1981. For decades, he has been active in the Legislative Committee of the Probate and Trust Section of the State Bar, and in that capacity, he has assisted in the drafting of Nevada law relating to trusts and estates.. Mr. Rushforth is an afficionado of computers and all things electronic. He is also a licensed Ham radio operator (K7LTR). He and his wife usually have annual passes to Disneyland.
Mr. Richardson is one of a few attorneys in Las Vegas with extensive litigation experience and expertise in probate, trust and guardianship matters, and in particular, elder competency and undue influence situations, financial exploitation of the elderly, disinheritance, transfers of titles, validity of wills, and prosecuting or defending claims of breach of duties by executors, guardians or trustees. He has represented numerous automobile and recreational vehicle dealerships in administrative matters, franchise disputes and lemon law claims.. Mr. Richardson began his legal career as a police legal advisor and assistant city attorney in Overland Park, Kansas, and later moved to Las Vegas where he served as chief of the fraud division for the Clark County District Attorneys Office. Mr. Richardson has served as lecturer for the National Business Institute and the Las Vegas Metro Police Department’s Police Academy.
