I focus my law practice on structuring, negotiating and documenting business transactions for entrepreneurs, start-ups, small businesses and early-stage companies. The primary focus of my practice involves forming business entities (such as corporations, limited liability companies (LLCs), and partnerships), structuring and documenting capital (both equity and debt) investments and financings (which includes ensuring compliance with state and federal securities laws), negotiating and drafting a wide array of licensing, acquisition, employment, and commercial contracts, and providing legal counsel on issues such as executive employment, capital raising, regulatory compliance, partner/shareholder disputes, and intellectual property protection. What differentiates me from other qualified transactional attorneys? Like many good transactional attorneys, I learned how to practice transactional law representing “Fortune 500” companies at a “Wall Street” law firm in New York City and at the Los Angeles office of one of the world’s largest law firms. However, I am particularly passionate about representing creative entrepreneurs and small-business owners and helping them navigate legal issues as they turn their creative ideas into thriving companies. I have built my own entrepreneurial companies and created/operated a start-up division of a larger company that was ultimately acquired. This business experience has provided me with in-depth, first-hand knowledge about pursuing an entrepreneurial vision and implementing a business plan that most transactional attorneys lack. Simply put, I understand the entrepreneurial process because I experience it first-hand from both a legal and business perspective.I am passionate about helping entrepreneurs and small-business owners and applying my business leadership and sophisticated legal experience to ensure they can successfully navigate legal issues as they build successful businesses.
I earned my Juris Doctorate at the University of Miami School of Law in Coral Gables, Florida. After passing the Florida Bar I was lucky enough to begin my legal career at the Miami-Dade Public Defender's office. There were over 2000 applications for 20 new attorney positions. During my five years as an assistant public defender I was the attorney of record in over 2500 cases, which included both felony and misdemeanor cases.. Before, I was a public defender, my training began as a certified legal intern at the Miami-Dade Public Defender's office, which is limited to students who have completed at least two years of law school and meet certification requirements set by the Supreme Court of Florida. Legal Interns who are "certified" by the state Supreme Court are able to represent public defender clients in and out of court. After attending the Public Defender Orientation Training Series, and while under the supervision of Miami-Dade Public Defender's office, I received assignments in the misdemeanor division. Each day I worked closely with an experienced assistant public defender who acted as my mentor. They taught my how to conduct client interviews, take depositions, engage in motion practice, handle daily court calendars and try cases.. I attended the University of North Carolina at Chapel Hill for my undergraduate studies and earned a double major. I was inducted into the Phi Beta Kappa National Honor Society, as well and the Golden Key National Honor Society.
I do not approve of Avvo but they have refused to remove my profile. Please note that I do not accept clients who locate me online. I only accept clients through referral from known sources.

I came out of school during the Recession of 2018. Like many folks here, I was saddled with student loan debt and there weren't many jobs to be had. Over the last 11 years, the economy has gotten better but many folks still can't seem to get ahead. If you've been living off credit cards and find it hard to get by now, bankruptcy may be your best solution to move forward with your life. I formed Jumpstart Bankruptcy to help folks like you move forward with your dreams again.

My past experiences, whether at Superior Court, nonprofit legal aid immigration services, or editing textbook chapters, have provided me with a wealth of knowledge and an extremely strong work ethic. I became an attorney because it's personal.. My family's journey to America was arduous and filled with atrocities. They were forced to leave their homes due to religious persecution and some even had to escape through underground networks. Unfortunately, one member was abducted by the government and executed. When I was younger, my parents would tell me these stories. I could not understand why people would be so cruel or why other parts of the world would allow people to get away with it. That is what lit the fire in me.. Hiring a lawyer is a difficult decision. I don't receive the phone calls when things are going well; I get them when my clients' lives have fallen apart. That is why I do what I do. I want to be your sword and your shield, the person who reverses the wrong and helps people make things right. Most of all, I want you to be confident that I will always be there and fight alongside you in your time of need.. - Daniel Forouzan, Esq.

The combination of my major in accounting and law degree makes the perfect combination to handle a bankruptcy proceedings. Keep in mind that in a bankruptcy petition a debtor has to list his assets and liabilities very similiar to a Balance Sheet for a business. Additionally, a debtor has to disclose his income and expenses similiar to a Profit and Loss accounting statement. While the process seems cumbersome, a debtor is entitled to keep all his exempted property and also avoid law suits, wage garnishment, repossessions, bank levies and all creditors teckniques to make you pay a debt that most likely qualifies for a "discharge" (forgiveness) in bankruptcy court.. Most people are under the mistaken belief that business or personal income income tax are not "dischargeable" through bankruptcy; however, meeting certain conditions they are forgiven in full.. Would you like an attorney who is also an accountant on your side while filing for bankruptcy? Keep in mind that I also have a real estate license and that experience give me an edge to resolve some issues with your lender without the need to file for banruptcy or if you have to file you may be entitled to "erase" the second or third loan against your house through a chapter 13 bankrtuptcy..
