Registered agent: Revocation of appointment; change of name
Official statutory text
1. If a limited partnership created pursuant to this chapter desires to change its registered agent, the change may be effected by filing with the Secretary of State a certificate of change of registered agent, signed by a general partner, which sets forth: (a) The name of the limited partnership; (b) The name and street address of its present registered agent; and (c) The name and street address of the new registered agent.
2. The new registered agent's certificate of acceptance must be a part of or attached to the certificate of change of registered agent.
3. If the name of a registered agent is changed as a result of a merger, conversion, exchange, sale, reorganization or amendment, the registered agent shall: (a) File with the Secretary of State a certificate of name change of registered agent that includes: (1) The current name of the registered agent as filed with the Secretary of State; (2) The new name of the registered agent; and (3) The name and file number of each artificial person formed, organized, registered or qualified pursuant to the provisions of this title that the registered agent represents; and (b) Pay to the Secretary of State a filing fee of $100.
4. A change authorized by this section becomes effective upon the filing of the proper certificate of change.
