§ 4. Certificate to be filed within sixty days and annually\nthereafter; penalty; evidence. Every joint-stock association\ntransacting business within this state shall, within sixty days after\nits formation, and in each January thereafter, file with the secretary\nof state, and with the clerk of the county in which its principal\nbusiness is carried on, a written certificate, signed and verified by\nits president and treasurer, stating the name and date of organization\nof such association, the number of its stockholders, the names and\nplaces of residence of its officers, and its principal place of\nbusiness. Any such certificate, the record thereof, or a certified copy\nof such certificate or record shall be presumptive evidence of the truth\nof all facts therein stated against such association, its officers and\nstockholders. The officers of a joint-stock association who fail to\ncomply with the provisions of this section shall be jointly and\nseverally liable to pay to the people of this state a penalty of fifty\ndollars for each day such failure continues.\n
