§ 304. Statutory designation of secretary of state as agent of domestic\n corporations formed under article four of this chapter and\n authorized foreign corporations for service of process.\n (a) The secretary of state shall be the agent of every domestic\ncorporation formed under article four of this chapter and every\nauthorized foreign corporation upon whom process against the corporation\nmay be served.\n (b) Any designation by a domestic corporation formed under article\nfour of this chapter or foreign corporation of the secretary of state as\nsuch agent, which designation is in effect on the effective date of this\nchapter, shall continue. Every domestic corporation formed under article\nfour of this chapter or foreign corporation, existing or authorized on\nthe effective date of this chapter, which has not designated the\nsecretary of state as such agent, shall be deemed to have done so.\n (c) Any designation by a domestic corporation formed under article\nfour of this chapter or foreign corporation of an agent other than the\nsecretary of state which is in effect on the effective date of this\nchapter shall continue in effect until changed or revoked as provided in\nthis chapter.\n (d) Any designated post-office address to which the secretary of state\nshall mail a copy of process served upon him or her as agent of a\ndomestic corporation formed under article four of this chapter or\nforeign corporation, shall continue until the filing of a certificate or\nother instrument under this chapter directing the mailing to a different\npost-office address and any designated email address to which the\nsecretary of state shall email a notice of the fact that process has\nbeen electronically served upon him or her as agent of a domestic\ncorporation or foreign corporation, shall continue until the filing of a\ncertificate or other instrument under this chapter changing or deleting\nthe email address.\n
