Existing certificate of incorporation for which no

certificate of authority is outstanding.
In the case of an existing certificate of incorporation for
which no certificate of authority is currently outstanding, a holder
of such certificate of incorporation shall follow the procedure and
obtain the approvals as set forth in Sections 312 and 313 of this
title.
